The Miracle Workers Alliance (MWA) Board of Directors convened for its regular meeting on August 31, 2025, via the Discord Board Room. President and CEO Korey G. Miracle presided over the session, with a quorum of directors present.

Meeting Overview

The Board celebrated the organization’s first corporate donation, strengthened compliance and governance through bylaws amendments, and launched a new Fundraising Committee to support sustainability. Discussions also covered declining program participation, financial stability, board development, and upcoming compliance filings with the State of Michigan.

Key Approvals & Actions

1. Financial & Compliance

  • CEO’s July timesheet approved.
  • Amendment passed to extend CEO back wages agreement through August 2025.
  • Treasurer’s Report filed: Cash on hand $111.12; $40 in donations received; $500 corporate donation pledged but hadn’t been received yet received; $6.99 spent for Project Zomboid server.
  • $20 expenditure approved to file Michigan Annual Report.

2. Fundraising & Outreach

  • Fundraising Committee established, with Subreina Davis appointed Chair. The committee will create strategies, coordinate donor outreach, and present a charter at the next board meeting.
  • Executive Report noted funding challenges despite a first corporate donation from Fabick Cat, community-led events, and active donation platforms across Twitch, Zeffy, PayPal Giving Fund, and ELGA CU.

3. Governance & Structure

  • Corporate Bylaws amended: Executive Committee removed, Finance Committee clarified, and Section 12 added requiring board member training within 90 days of appointment.
  • Secretary role filled: Subreina Davis formally appointed as Board Secretary, meeting Michigan state compliance requirements.
  • Board training requirement approved: all current directors to complete Nonprofit Board Member Essentials Certificate by September 30, 2025.

Notable Discussions Without Formal Motions

  • Exploration of AI tools (Sintra.AI) to reduce staff workload, with a nonprofit discount trial available.
  • Potential refresh of the MWA logo while maintaining the “brain with wings and halo” concept.
  • Nonprofit insurance: quote requested from Nonprofits Insurance Alliance for General Liability and Directors & Officers coverage.
  • Preparations for the Annual Meeting in September, including review of Policies & Procedures and board performance evaluations via Google Form.
  • Ideas raised by Fundraising Chair Subreina Davis for in-person and gaming-focused fundraising efforts.

Next Steps from August Meeting

  • Finalize September Board Activities Day outside of formal session.
  • Proceed with QuickBooks 2021 purchase for bookkeeping.
  • Launch fundraising challenge and expand peer-to-peer campaigns through the “Wings of Wellness” program.
  • Prepare for Annual Meeting on September 28, 2025 at 6:00 PM EDT in the Discord Board Room.
